These general terms of sale (the “Terms”) govern the sale of subscriptions to the Viral Clip Factory software by Payet Maxence, trading as Viral Clip Factory (the “Seller”) to any person (the “Customer”) through the website https://vclipfactory.com.

1. Product

Viral Clip Factory is software for macOS (Mac with Apple silicon, macOS 12 or later) and Windows (10 version 1809+ or 11, 64-bit) that generates short video clips from YouTube videos. Its essential characteristics, system requirements and dependencies (Internet connection, YouTube services) are described on the The software page. The Customer is invited to check the compatibility of their computer before purchasing.

2. Price

The software is offered by subscription, at the Customer's choice: monthly (€19 incl. tax per month) or yearly (€149 incl. tax per year). Both plans give access to the same features, with no limit on the number of clips. Prices are shown in euros, all taxes included. The Seller may change its prices; a price change only applies to an ongoing subscription from the following renewal, after prior notice to the Customer, who may then cancel.

3. Order, payment and renewal

The order is placed on the website and then paid on the secure page of our provider Stripe (bank card, Apple Pay…). The Seller never has access to the Customer's banking data. The subscription starts as soon as Stripe confirms the first payment. It is then automatically renewed for an identical period (one month or one year) and paid in advance at the start of each period, using the same payment method, until cancelled. The receipt and invoice for each payment are emailed by Link (see below). For the yearly subscription, the Customer is informed by email before each renewal.

Payment and taxes. Payments are processed by Link, a Stripe service, which acts as the merchant of record for the payment transaction: Link collects the price, calculates, collects and remits the applicable taxes (VAT, GST, sales tax…) to the relevant authorities, and sends the Customer the receipt and invoice. Displayed prices include taxes; the tax amount depends on the Customer's country. The Customer's bank statement shows "LINK.COM*". Link's payment terms apply to the transaction and are displayed on the payment page. The software, the license, support and the performance of the subscription remain provided by the Seller.

3a. Cancellation

The Customer may cancel at any time, free of charge and without justification, from their customer area (“My account”, “Manage payment” button). Cancellation takes effect at the end of the current period, already paid: access to the software remains open until that date and no new charge is made. The current period is not refunded pro rata. In the event of an unresolved payment failure, the subscription ends and access is suspended 3 days after the end of the last paid period.

4. Delivery

As soon as the first payment is confirmed, the Customer receives, on the confirmation page and by email, a personal activation code and a link to their order page from which the software can be downloaded. If not received, the Customer can retrieve this information via the “Find my subscription” page or contact support.

5. License

For its duration, the subscription grants a personal, non-exclusive and non-transferable license to use the software, for one computer at a time, under the conditions of the end-user license agreement. The software remains the property of the Seller.

6. Right of withdrawal

A consumer Customer residing in the European Union or the United Kingdom normally has a 14-day right of withdrawal. This right cannot be exercised for the supply of digital content not supplied on a tangible medium whose performance has begun with the consumer's prior express consent, the consumer having acknowledged that they thereby lose their right of withdrawal (article 16(m) of Directive 2011/83/EU). When ordering, the Customer expressly requests the immediate supply of the software and acknowledges losing their right of withdrawal as soon as access to the software is provided. This does not deprive them of the ability to cancel at any time (article 3a) or of the guarantees in article 7. See also the refund policy.

7. Warranties

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Depending on the seriousness of the problem, the Customer may be entitled to have the software fixed, to a refund or to compensation, as provided by that law. A consumer Customer residing in the European Union also benefits from the legal guarantee of conformity for digital content and services under the law of their country of residence (Directive (EU) 2019/770). If there is a problem, the Customer contacts support. The software relies on third-party services (YouTube) whose operation may change independently of the Seller's will; the Seller endeavors to publish corrective updates within a reasonable time.

8. User responsibility

The Customer is solely responsible for the use of the videos they process and publish, for compliance with copyright and with the terms of use of the platforms concerned. By default, the software only selects videos under a Creative Commons license; the use of any other video requires the permission of its rights holders.

9. Personal data

See the privacy policy.

10. Disputes and governing law

If a problem arises, the Customer first contacts support; the Seller undertakes to seek an amicable solution. A consumer Customer may also contact, free of charge, the consumer protection body where they live (in Australia, the Fair Trading or Consumer Affairs office of their state; in the European Union, the European Consumer Centre of their country). These Terms are governed by the law of Western Australia, Australia. This choice does not deprive a consumer Customer of the protection afforded by the mandatory provisions of the law of their country of residence.
